1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," "Customer," or "User") and Frostline Refrigeration LLC ("Frostline Refrigeration," "Company," "we," "us," or "our"), a Texas limited liability company located in Aubrey, Texas, serving the Dallas-Fort Worth metropolitan area.

By accessing or using our website at https://link.frostlineref.com/home-page-page (the "Site"), submitting a service request, contacting us by phone, SMS, or email, or receiving commercial refrigeration services from us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or our services.

2. Description of Services

Frostline Refrigeration provides commercial refrigeration services including, but not limited to:

Commercial refrigeration repair (walk-in coolers, walk-in freezers, reach-in units, ice machines, prep tables, display cases, and related equipment)

Commercial refrigeration installation

Preventive and scheduled maintenance

Remote refrigeration monitoring systems and related technology

Maintenance membership and service plans

24/7 emergency response service within our service area

Our services are intended for commercial and business customers only. We do not provide residential refrigeration services unless expressly agreed to in writing.

3. Service Area

Our standard service area includes Aubrey, Little Elm, Frisco, Denton, Providence Village, and the surrounding Dallas-Fort Worth metropolitan area. Service availability, response times, and travel charges may vary by location. We reserve the right to decline service to any location at our sole discretion.

4. Licensing and Insurance

Frostline Refrigeration operates as a licensed and insured commercial refrigeration contractor in the State of Texas. License information is available upon request. We perform work in accordance with applicable state and local codes, manufacturer specifications, and industry standards.

5. Service Requests, Estimates, and Scheduling

5.1 Service Requests. When you submit a service request through our Site, by phone, by SMS, or by email, you are making a request only. No service agreement is formed until we expressly accept the request and confirm scheduling.

5.2 Estimates. Written estimates are valid for thirty (30) days from the date issued, unless otherwise stated. Estimates are based on information available at the time of inspection and may be adjusted if additional issues, parts, refrigerant, labor, or code-required work are discovered during the job. We will make commercially reasonable efforts to notify you before performing work outside the original estimate.

5.3 Diagnostic and Trip Fees. Diagnostic fees, trip charges, and after-hours service fees may apply and will be disclosed prior to dispatch where reasonably practicable. Emergency service rates apply outside normal business hours, on weekends, and on holidays.

5.4 Scheduling. We make every reasonable effort to meet scheduled appointment times. However, due to the nature of emergency commercial refrigeration work, scheduled appointments may be delayed or rescheduled. We are not liable for losses resulting from scheduling delays.

6. Pricing, Payment, and Late Fees

6.1 Payment Terms. Unless otherwise agreed in writing, payment is due upon completion of services. We accept payment methods specified at the time of service.

6.2 Deposits. Installation projects, parts orders, and large repairs may require a deposit prior to scheduling or ordering materials. Deposits for special-order parts are non-refundable once the parts have been ordered.

6.3 Late Payments. Past-due accounts may be subject to a finance charge of one and one-half percent (1.5%) per month, or the maximum rate permitted by Texas law, whichever is lower. You agree to pay all reasonable costs of collection, including attorneys' fees and court costs.

6.4 Returned Payments. Returned checks and failed electronic payments are subject to a return fee of $35.00 or the maximum amount permitted by Texas law.

6.5 Disputes. Any dispute regarding an invoice must be communicated in writing within fifteen (15) days of receipt. Failure to dispute within this period constitutes acceptance of the invoice as accurate.

7. Membership and Maintenance Plans

7.1 Plan Terms. Maintenance membership plans are governed by the specific plan agreement signed at enrollment, in addition to these Terms. In the event of a conflict, the plan agreement controls for plan-specific matters.

7.2 Term and Renewal. Unless otherwise stated in your plan agreement, memberships are billed on an annual or monthly basis and automatically renew at the then-current rate. You may cancel in accordance with the cancellation terms in your plan agreement.

7.3 Non-Transferable. Membership benefits are non-transferable and apply only to the equipment and locations listed on the plan agreement.

7.4 No Refunds for Unused Services. Pre-paid membership fees are not refundable for unused inspections, visits, or benefits, except as required by law.

8. Warranties

8.1 Workmanship Warranty. We warrant our labor for a period of thirty (30) days from the date of completion, unless a different period is stated in writing on your invoice or service agreement. This warranty covers defects in workmanship only and does not cover parts, refrigerant loss, or damage caused by normal wear, misuse, power surges, acts of God, or third-party interference.

8.2 Parts Warranty. Parts are covered exclusively by the manufacturer's warranty. We will make reasonable efforts to assist with warranty claims but make no independent warranty as to parts.

8.3 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ALL SERVICES, PARTS, AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

8.4 Warranty Voiding. Warranties are void if equipment is serviced, modified, or tampered with by any party other than Frostline Refrigeration, if recommended maintenance is not performed, or if the equipment is operated outside manufacturer specifications.

9. Limitation of Liability

9.1 No Liability for Product Loss or Business Interruption. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FROSTLINE REFRIGERATION SHALL NOT BE LIABLE FOR ANY INVENTORY LOSS, FOOD SPOILAGE, PRODUCT LOSS, BUSINESS INTERRUPTION, LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO OUR SERVICES, THE FAILURE OF ANY EQUIPMENT, ANY DELAY IN SERVICE, OR ANY FAILURE OR DELAY OF OUR MONITORING SYSTEMS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Cap on Damages. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY SERVICE, PRODUCT, OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO FROSTLINE REFRIGERATION FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.3 Customer Responsibility. You are responsible for maintaining adequate commercial insurance (including property, equipment breakdown, and business interruption coverage) sufficient to protect against inventory loss and operational interruption. MONITORING SYSTEMS REDUCE BUT DO NOT ELIMINATE THE RISK OF EQUIPMENT FAILURE OR PRODUCT LOSS.

10. Remote Monitoring Services

10.1 Nature of Monitoring. Our remote monitoring systems provide alerts based on data received from sensors installed on your equipment. Alerts depend on continuous internet connectivity, electrical power, functioning sensors, and third-party cellular and cloud services.

10.2 No Guarantee. WE DO NOT GUARANTEE THAT MONITORING WILL DETECT EVERY ISSUE, THAT ALERTS WILL BE DELIVERED WITHOUT DELAY, OR THAT MONITORING WILL PREVENT EQUIPMENT FAILURE, INVENTORY LOSS, OR DOWNTIME. Alerts are advisory only. You remain responsible for monitoring your own equipment and responding to alerts.

10.3 Customer Obligations. You agree to maintain stable internet and power at the equipment location, to provide accurate contact information for alerts, and to respond promptly to alerts received.

11. Customer Responsibilities

You agree to:

Provide accurate information about your equipment, location, and service needs

Provide safe access to the equipment and work areas

Move inventory, fixtures, and obstacles as reasonably needed for service

Maintain a safe work environment free of hazards

Disclose known issues, prior repairs, modifications, refrigerant types, and any conditions affecting service

Promptly review and approve estimates and change orders

Make timely payment for services rendered

12. Refrigerant Handling and Environmental Compliance

We handle refrigerants in accordance with Section 608 of the Clean Air Act and applicable EPA regulations. Refrigerant recovery, recycling, and disposal charges may be passed through to the customer at cost or at posted rates.

13. Access to Premises

By scheduling service, you represent that you are the owner of the premises and equipment, or that you have authority from the owner to authorize the work. You agree to indemnify and hold Frostline Refrigeration harmless from any claim by a property owner, landlord, or third party related to our authorized presence and work at the premises.

14. SMS, Phone, and Email Communications (Consent to Contact)

14.1 SMS Program Description. Frostline Refrigeration operates an SMS messaging program for customers and prospective customers. By providing your mobile phone number, you may receive text messages from us related to: service scheduling, appointment confirmations and reminders, technician dispatch and ETA notifications, refrigeration monitoring alerts, billing and payment notices, account servicing, customer support follow-up, satisfaction surveys, and — where you have consented — promotional offers and seasonal service reminders.

14.2 Express Consent. By providing your phone number to us — whether through our Site forms, by phone, in person, or otherwise — you expressly consent to be contacted by Frostline Refrigeration by SMS text message, phone call (including calls made with an automatic telephone dialing system or prerecorded or artificial voice), and email at the contact information you provided, for the purposes described above.

14.3 Age Restriction. You must be at least eighteen (18) years of age to consent to receive SMS messages from Frostline Refrigeration or to enroll in our SMS program. By providing your mobile number and consenting to receive messages, you represent and warrant that you are at least 18 years old and are the account holder or authorized user of the mobile number provided.

14.4 Not a Condition of Purchase. Your consent to receive marketing communications is not a condition of purchasing any goods or services from Frostline Refrigeration.

14.5 Message Frequency. Message frequency varies based on your service activity and account status. You may receive recurring messages.

14.6 Message and Data Rates. Message and data rates may apply. Standard rates from your wireless carrier may be charged for each message sent or received. Please contact your mobile carrier for details about your messaging plan.

14.7 Carrier Liability Disclaimer. Wireless carriers (including but not limited to AT&T, T-Mobile, Verizon, Sprint, U.S. Cellular, Boost, MetroPCS, Cricket, and Google Fi) are not liable for delayed, undelivered, or misdirected messages. Frostline Refrigeration is not responsible for any delays, failures in delivery, errors in transmission, or technical issues caused by your wireless carrier or any third-party service provider. T-Mobile is not liable for delayed or undelivered messages.

14.8 Opt-Out (STOP). You may opt out of SMS messages at any time by replying STOP to any message you receive from us. After sending STOP, you will receive a one-time confirmation message that you have been unsubscribed, and no further SMS messages will be sent. To rejoin the program at any time, reply START.

14.9 Help (HELP). Reply HELP to any SMS message for assistance, or contact us at +1 972-954-6145 or [email protected].

14.10 Supported Carriers. Our SMS program is compatible with major U.S. wireless carriers. Carrier availability may change without notice.

14.11 Transactional Communications. Even after opting out of marketing SMS, we may continue to send you transactional messages necessary to service your account (e.g., dispatch confirmations, billing notices, or safety alerts) while you have an active service relationship with us.

14.12 Privacy. Information collected through our SMS program is governed by our Privacy Policy, available at https://link.frostlineref.com/home-page-page. No mobile information collected through SMS opt-in will be shared with third parties or affiliates for their marketing or promotional purposes. Please review our Privacy Policy for full details on how we handle your information.

15. Website Use and Intellectual Property

15.1 License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful, personal, and business purposes.

15.2 Ownership. All content on the Site — including text, graphics, logos, photographs, videos, the Frostline Refrigeration name, the Frostline Refrigeration logo, and all related marks — is the property of Frostline Refrigeration or its licensors and is protected by United States and international intellectual property laws.

15.3 Restrictions. You may not (a) copy, modify, distribute, sell, lease, or reverse engineer any portion of the Site or its content; (b) use the Site for any unlawful purpose; (c) attempt to gain unauthorized access to the Site or its systems; (d) interfere with the operation of the Site; (e) use automated means such as bots or scrapers; or (f) use any content for any commercial purpose without our prior written consent.

16. User Submissions

If you submit any information, comments, photographs, reviews, or other content to us through the Site or otherwise (collectively, "Submissions"), you grant Frostline Refrigeration a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, and display such Submissions in connection with our business, including marketing and advertising. You represent that you have all necessary rights to make such Submissions.

17. Third-Party Links and Services

The Site may contain links to third-party websites or services. We do not control and are not responsible for the content, accuracy, or practices of any third-party sites. Your interactions with third parties are solely between you and the third party.

18. Indemnification

You agree to defend, indemnify, and hold harmless Frostline Refrigeration, its owners, officers, employees, contractors, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use or misuse of the Site or our services; (c) your violation of any law or third-party right; (d) any inaccurate or incomplete information you provide; or (e) work performed at premises you do not own or are not authorized to permit work upon.

19. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, severe weather, fire, flood, pandemic, government action, labor disputes, supply chain failures, refrigerant shortages, parts unavailability, power outages, or internet, cellular, or cloud service failures.

20. Termination

We may suspend or terminate your access to the Site or refuse to provide services at any time, with or without notice, for any reason, including non-payment, violation of these Terms, or abusive conduct toward our employees. Provisions that by their nature should survive termination (including payment obligations, warranties, limitations of liability, indemnification, and dispute resolution) shall survive.

21. Governing Law and Dispute Resolution

21.1 Governing Law. These Terms and any dispute arising out of or related to them or our services are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.

21.2 Venue. Subject to Section 21.3, exclusive venue for any action shall lie in the state or federal courts located in Denton County, Texas, and you consent to personal jurisdiction in those courts.

21.3 Informal Resolution. Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of thirty (30) days after written notice.

21.4 Binding Arbitration (Optional — confirm with counsel). At our election, any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with arbitration held in Denton County, Texas. Judgment on the award may be entered in any court of competent jurisdiction. This provision does not prevent either party from seeking injunctive relief in court for intellectual property or non-payment claims.

21.5 Waiver of Class Actions. YOU AND FROSTLINE REFRIGERATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

21.6 Limitations Period. Any claim must be brought within one (1) year after the cause of action arose, or it is permanently barred, except where a longer period is required by applicable law.

22. Changes to These Terms

We may update these Terms at any time. The updated version will be posted on the Site with a revised "Last Updated" date. Continued use of the Site or our services after changes are posted constitutes your acceptance of the updated Terms.

23. Miscellaneous

23.1 Entire Agreement. These Terms, together with any signed service or membership agreement, constitute the entire agreement between the parties.

23.2 Severability. If any provision is held unenforceable, the remaining provisions remain in full effect, and the unenforceable provision shall be reformed to the minimum extent necessary.

23.3 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

23.4 Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a sale, merger, or other business transfer.

23.5 Headings. Headings are for convenience only and do not affect interpretation.

24. Contact Information

Message and Data Rates. Message and data rates may apply. Standard rates from your wireless carrier may be charged for each message sent or received.

Opt-Out. You can cancel the SMS service at any time by replying STOP to any message you receive from us. After you reply STOP, we will send you a one-time confirmation message that you have been unsubscribed, and you will not receive any further SMS messages from us. To rejoin the program, sign up again or reply START.

Age Restriction (18+)

You must be at least eighteen (18) years of age to subscribe to Frostline Refrigeration's SMS program or to consent to receive SMS messages from us. By providing your mobile phone number and opting in to receive messages, you represent and warrant that you are at least 18 years of age and are either (a) the subscriber of the mobile telephone number provided, or (b) the customary user of that number on a family or business plan and have authority to opt in to the SMS program. If you are under 18, do not provide your mobile number and do not opt in to receive SMS messages from us.

Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages. Wireless carriers — including but not limited to AT&T, T-Mobile, Verizon Wireless, Sprint, U.S. Cellular, Boost Mobile, MetroPCS, Cricket Wireless, Virgin Mobile, and Google Fi — are not liable for any delayed, undelivered, or misdirected messages. Frostline Refrigeration is not responsible for any delays, failures in delivery, errors in transmission, or technical issues caused by your wireless carrier, mobile device, internet service provider, or any other third-party service provider. T-Mobile is not liable for delayed or undelivered messages. Message delivery is subject to the effective transmission from your wireless service provider and is outside of Frostline Refrigeration's control.

Privacy and Links to Privacy Policy

Your privacy is important to us. All information collected through our SMS program — including your mobile phone number, opt-in status, message content, and consent records — is handled in accordance with our Privacy Policy. Please review our Privacy Policy for full details on how we collect, use, store, and protect your personal information.

No mobile information or SMS opt-in data will be shared with third parties or affiliates for their marketing or promotional purposes. Mobile information is shared only with subprocessors strictly necessary to deliver the messages you have consented to receive (such as our SMS gateway provider and CRM platform), and those providers are contractually prohibited from using your information for their own marketing purposes.
